These Terms of Service ("Terms") govern your access to and use of StatementLock at statementlock.com (the "Service"), operated by Makerlow LLC, a limited liability company organized in Michigan, United States.

StatementLock is a software tool, not a financial, legal, tax, or investment advisor. Its categorizations, fraud flags, and reports are generated by automated and AI systems, may contain errors, and are for informational purposes only. Always verify important information and consult a qualified professional before making financial decisions.

1. Acceptance

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service.

3. Your account

You are responsible for the activity under your account and for keeping your login credentials secure. You agree to provide accurate information and to notify us promptly of any unauthorized use of your account.

4. The Service

StatementLock helps you analyze and categorize personal bank, credit card, and investment statements and generate reports. Features and availability may change over time as we improve the Service.

5. Subscriptions, free trial, and billing

  • Plans: Monthly ($5.99/month) and Annual ($47.88/year), in U.S. dollars.
  • Free trial: new subscriptions include a 30-day free trial. You will not be charged until the trial ends. Cancel before the trial ends to avoid any charge.
  • Automatic renewal: after the trial, your subscription renews automatically at the end of each billing period at the then-current price, until you cancel.
  • Cancellation: you can cancel anytime through your account or by emailing support@statementlock.com. Cancellation stops future renewals; you keep access through the end of the current paid period.
  • Payments: payments are processed by Stripe. By subscribing, you authorize recurring charges to your payment method.
  • Price changes: we may change prices with reasonable notice; changes take effect at your next renewal.

6. Refunds

  • Monthly plans: payments are non-refundable, including for partial periods. You can cancel anytime to stop future charges.
  • Annual plans: you may request a full refund within 14 days of the date you are charged for the year by emailing support@statementlock.com. After 14 days, annual payments are non-refundable, but you keep access through the end of the paid year and cancellation stops the next renewal.
  • Any refund we issue is returned to your original payment method.

7. Acceptable use

You agree not to: use the Service unlawfully; upload or process data you do not have the right to use; attempt to reverse engineer, scrape, overload, or disrupt the Service; resell or share access; or use the Service to harm others.

8. Your data and content

You retain ownership of the statements and data you process. You grant us a limited license to process that data solely to provide the Service, as described in our Privacy Policy. You are responsible for ensuring you have the right to upload and process any statements you use with the Service.

9. AI-generated results

Categorizations, fraud and anomaly flags, and reports are produced by automated and AI systems. They may be inaccurate, incomplete, or out of date. You are responsible for reviewing and verifying any results before relying on them.

10. Not financial advice

The Service is a software tool and does not provide financial, legal, tax, accounting, or investment advice, and nothing it produces is a recommendation. Consult a qualified professional for advice about your specific situation.

11. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that its fraud detection will identify all fraudulent or anomalous activity.

12. Limitation of liability

To the maximum extent permitted by law, StatementLock and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless StatementLock and its operator from any claims arising out of your misuse of the Service or your violation of these Terms.

14. Third-party services

The Service relies on third-party providers, including Clerk, Stripe, Supabase, Resend, Anthropic, and Vercel. Their own terms and policies apply to their portions of the Service.

15. Suspension and termination

We may suspend or terminate your access if you violate these Terms or use the Service in a way that could cause harm or legal exposure. You may stop using the Service and cancel at any time.

16. Changes to these Terms

We may update the Service and these Terms. If we make material changes, we will post the updated version with a new "Last updated" date and may notify you by email. Continued use after changes take effect means you accept them.

17. Governing law

These Terms are governed by the laws of the State of Michigan, USA, without regard to its conflict-of-laws rules. Any disputes will be subject to the courts located in Michigan, unless applicable law requires otherwise.
